Data Privacy Statement and Terms of Use for the 2025 ICTSI Annual Stockholders’ Meeting
This privacy statement and terms of use apply specifically to all the participants, including stockholders, their representatives or proxies, brokers, investors, directors, officers, employees, agents, and all persons who shall register for, participate in and access the 2025 Annual Stockholder’s Meeting (ASM) of International Container Terminal Services, Inc. (ICTSI).
I understand that for purposes of registering for the ASM, verification and validation of stockholder requirements, the tabulation of online voting, and in compliance with Republic Act No. 10173, also known as the Data Privacy Act of 2012, its Implementing Rules and Regulations, other relevant laws and issuances by the National Privacy Commission and such other applicable data privacy and protection laws (collectively, the Applicable Data Protection Laws) and ICTSI's Data Privacy Policy, ICTSI shall collect, process, store and use personal information of the participants submitted during the online registration and voting processes, which information shall include but not be limited to the name, age, address, contact details, government- issued ID information, and the votes cast by the participants. I likewise understand that the information collected during the registration and voting processes and any and all information collected or recorded during the 2025 ICTSI ASM, shall be retained and kept safe by ICTSI, in accordance with the Applicable Data Protection Laws and ICTSI’s Data Privacy Policy.
In view of the foregoing, I hereby expressly consent to ICTSI’s collection, use, storing, disclosure, transfer, sharing and general processing of my personal information and by any other relevant third party, including but not limited to its third party stock transfer agent and its service provider, Azeus Convene, in accordance with the Applicable Data Protection Laws, for the purpose of electronic voting in absentia for the 2025 ICTSI ASM, updating of my records, and for all other purposes for which I can cast my vote and/ or participate in the 2025 ICTSI ASM.
As a participant, I agree to: (a) keep information disclosed, discussed and presented during the 2025 ICTSI ASM confidential and private, except that ICTSI has the right to disclose the information to government and non-government regulatory entities pursuant to a valid law, regulation or regulatory requirement, to media entities, or third parties for media releases, which disclosure shall, at all times, be made with due regard to the privacy rights of participants; (b) not share the access to the virtual ASM to unauthorized persons, take and retain photographs or video recordings of the proceedings, and make public any information disclosed and/or discussed during the 2025 ICTSI ASM; (c) not make any defamatory or malicious statements, remarks or comments against any person or entity using ICTSI’s platform and/or during the conduct of the 2025 ICTSI ASM; and (d) agree to recording and making available of the recording online in either video or audio recording, as required by the Securities and Exchange Commission.
I likewise acknowledge that: (a) I have full and sole responsibility over the truthfulness, accuracy, completeness, appropriateness and lawfulness of the personal data and supporting documents I provide to ICTSI for the purposes stated above; (b) I am duly authorized to make such disclosure; (c) I am duly authorized to give consent on behalf of the concerned data subject(s); and (d) I have acquired the consent and/or authorizations from all parties relevant to this statement and terms of use. I undertake to immediately notify ICTSI of any change thereto, and further, I acknowledge and warrant that and commit myself and/or the person or the corporation I represent, to defend, indemnify and hold ICTSI, its directors, officers and employees free and harmless from any and all claims, complaint, suit, liability, loss, cost, damage and/or injury which may arise from any misrepresentation or any inaccurate information provided or shared for and during the 2025 ICTSI ASM.
I have fully read and understood the terms hereof, ICTSI’s Data Privacy Policy and Azeus Convene’s Privacy Policy, Terms of Service, and End User Terms of Service which can be viewed below, and I express my consent and conformity thereto:
